Terms of Service
Version 2026-10-12 · 12 October 2026
These terms are an agreement between LynBro ApS, CVR
46321499, Denmark ("we", "us") and the business that opens an
account ("you"). By creating an account, or by using the service, you accept
them. If you do not accept them, do not create an account and do not use the
service.
This is a business service. It is offered only to
companies, sole traders and other organisations acting in the course of
business. It is not offered to consumers, and the limitations in clause 8
are written on that basis.
1. What the service is
A gateway that accepts messages from you and hands them to a mobile
network for delivery, together with a portal and an HTTP API for doing so,
for seeing what happened, and for paying us.
2. Your account
- You are responsible for everything done through your account, including
by your staff and by anything holding one of your API keys.
- Keep credentials secret. Tell us promptly if you believe one has
leaked; we will revoke it.
- The details you give us must be accurate, and you must keep them so —
we invoice on the basis of them.
- One person may hold accounts for several organisations. Each is
separate, and data is never shared between them.
3. What you may send
- Only messages the recipient has agreed to receive, in the way the law
where they are requires that agreement to be obtained.
- Every marketing message must identify you and must offer a working way
to stop. We provide unsubscribe handling; you must honour it.
- You must not send: unsolicited bulk messages; anything unlawful,
fraudulent, or deceptive as to who sent it; anything that harasses,
threatens or defames; content that infringes someone else's rights;
or traffic designed to generate artificial revenue for a network
(sometimes called SMS pumping or AIT).
- Sender identifiers must be ones you are entitled to use. Impersonating
another business, a bank or a public authority ends the account
immediately. Names that resemble a bank, an authority or a known brand
are held for review before use.
- Messages sent to numbers or keywords you rent are received and stored
for you, as part of the service, and opt-outs such as STOP are
recorded and honoured automatically.
- Some destinations require registration of the sender or the message
template before delivery is possible at all. Where that applies, it is
your responsibility to complete it; we will tell you what we know.
We do not read your messages to check any of this. We do operate automated
abuse detection, and we act on complaints from networks and recipients.
4. Suspension
We may suspend sending immediately, without notice, where we have
reasonable grounds to believe clause 3 is being breached, where a network
requires it, where an account is being used fraudulently, or where an unpaid
balance is overdue. We will tell you why, and restore service once the cause
is resolved. Suspension does not relieve you of amounts already owed.
5. Prices, payment and credit
- Prices are those shown in your portal at the time of sending. They may
change; changes take effect for messages sent after the change and we
will give notice of increases that affect published rates.
- All prices are exclusive of VAT unless explicitly marked otherwise.
Danish VAT is added where it applies.
- Prepaid accounts must hold a positive balance. Sending stops when it
runs out; that is a feature, not a fault.
- Postpaid accounts are invoiced for the period and are due within the
terms on the invoice. Overdue amounts may carry interest at the rate
set by the Danish Interest Act (renteloven).
- Balance held on account is a prepayment for services, not a deposit.
It is not interest-bearing. Unused balance is refundable on closure of
the account, less anything owed, on request within twelve months.
- A message accepted by a network and reported undelivered is not
charged. A message we accepted, charged, and could not hand to any
network is refunded to your balance.
- Numbers and keywords for two-way SMS are rented on your request at the
price confirmed to you before ordering. The monthly fee is charged for
each calendar month or part of one in which the number is active,
from the month of activation; a setup fee, if any, once at activation.
Fees already charged are not refunded when a number is released. The
number belongs to the network or provider, not to either of us, and
ends with the agreement unless a transfer is agreed.
6. Availability
We aim for continuous availability and we do not promise it. There is no
service level agreement in these terms. Delivery of an SMS depends on mobile
networks we do not control, on handsets being switched on, and on national
regulation; we can promise to hand your message to a network, and we cannot
promise a network will deliver it or when.
Where we have agreed a written service level with you separately, that
agreement governs and prevails over this clause.
7. Your data and ours
Your message content and recipient lists remain yours. We process them to
provide the service, on the terms in the
Data Processing Terms, which form part of
this agreement. How we handle personal data about you is in the
Privacy Policy.
8. Liability
Read this clause. It decides who carries which risk, and
it is the reason the price is what it is.
- We are fully liable, without limit, for death or
personal injury caused by our negligence, for our own fraud or
fraudulent misrepresentation, for gross negligence and wilful
misconduct, and for anything else that Danish law does not permit to
be limited. Nothing below reduces this.
- We are not liable, in any circumstances, for indirect
or consequential loss; loss of profit, revenue, business, contracts,
anticipated savings or goodwill; loss or corruption of data beyond our
obligation to keep reasonable backups; or losses arising because a
message was delayed, was delivered late, was not delivered, or was
delivered to the wrong handset by a network.
- Where we are liable for anything else, our total
liability for all claims arising in any twelve-month period is limited
to the amount you paid us for the service in the three months before
the event giving rise to the claim.
- We are not liable for anything caused by your breach of clause 3, by
instructions you gave us, by content you sent, by a third party you
chose, or by an event outside our reasonable control.
- You will indemnify us against claims brought by third parties —
including recipients, mobile networks and regulators — arising from
messages sent through your account in breach of clause 3.
- Any claim must be brought within twelve months of the day you became
aware, or reasonably should have become aware, of the circumstances
giving rise to it.
9. Changes to these terms
We may change these terms. Material changes are notified by email to the
address on the account and take effect thirty days later, or on your next
use of the service after that date, whichever is later. If you do not accept
a change, stop using the service and tell us before it takes effect; we will
close the account and refund unused balance.
10. Ending the agreement
- You may close your account at any time from the portal or by emailing
us. Amounts already incurred remain payable.
- We may end this agreement on thirty days' notice, or immediately for a
material breach that is not put right within fourteen days of us asking,
or immediately for a breach of clause 3.
- On closure we stop accepting messages, issue a final invoice, refund
unused balance less amounts owed, and delete or anonymise your data
per the Privacy Policy — except records we are legally required to keep.
11. Law and disputes
Danish law governs this agreement, without regard to its conflict-of-law
rules. The courts of Denmark have exclusive jurisdiction. The United Nations
Convention on Contracts for the International Sale of Goods does not
apply.
12. Everything else
- If a clause is unenforceable, the rest stands and that clause is read
as narrowly as needed to make it enforceable.
- Not enforcing something once does not waive it.
- You may not transfer this agreement without our written consent. We may
transfer it to a company that acquires our business.
- This agreement, together with the documents it refers to, is the whole
agreement between us on this subject.
